Richard is a consultant in our Banking and Capital Markets team, where he specialises in securitisation and debt capital markets work.

Richard has more than 24 years experience (18 as a partner) in private practice, and in-house. Prior to joining Dillon Eustace, Richard headed the Capital Markets Group at one of Malta’s largest law firms, advising on a variety of international finance transactions and as lead partner on a number of financial sector transactions. Richard has acted for many of the world's leading financial institutions, as well as working on a number of ground-breaking transactions, beginning with the Formula 1 “Whole Business securitisation” for Morgan Stanley and WestLB Principal Finance. He was formerly a member of the European Central Bank's panel of advisors on financial law in Malta, and was part of the team drafting the Maltese Securitisation Act, Aircraft Registration Act, Virtual Financial Assets Act and the Securitisation Cell Company and Special Purpose Reinsurance Vehicle Regulations.

Richard is qualified in England and Wales, Ireland and Malta.

Richard’s representative transactions include advising:

  • a top five global shipping company on the issue of $187-600m Enhanced Maritime Trust Certificates. This was the first financing to apply EETC structuring to maritime assets and used Maltese shipping securitisation vehicles to issue equipment notes secured over individual vessels (Shipping Debt Deal of the Year Global Transport Finance Awards 2015)
  • on the acquisition by an international credit card provider of its stake in RS2 Software plc.
  • Africa’s leading gaming business on its redomiciliation and Initial public offering on the Maltese Stock Exchange and convertible bond issue listed on the European Wholesale Securities Market.
  • a finance sector private equity house on its €300m acquisition and securitisation financing through a Natixis ABCP conduit of a portfolio of office equipment leases originated in France, Germany, Italy, Portugal and Spain.
  • a Latin American export credit agency’s financing of two Embraer aircraft leased to Alitalia.
  • a European bank originator on the €402m Blackstone / GSO Grand Harbour CLO.
  • Subordinated oil rig financing for entity an issuer in the Nordic bond market.
  • a top three global commodities trading business using a Maltese securitisation vehicle in its $2bn asset-backed commercial paper programme.
  • a Large US bulge bracket investment bank underwriting a syndicate on a $234m exchangeable bond issue through a Maltese securitisation vehicle for a European international airline.
  • the arrangers of a USD380m Dynasty CMBS issue backed by PRC shopping centres (IFLR Asian Securitisation Transaction of the Year 2006).
