Matt Mulry specialises in Cayman Financial Services and Commercial and Corporate work.

Matt has extensive experience of Cayman financial services law and general commercial work. His advisory practice covers private equity, hedge funds, compliance and regulatory issues, banking and finance, general corporate and commercial work. He has acted in major transactions for leading onshore law firms, investment managers, administrators and global banks.

Matt’s experience includes working as General Counsel for a leading investment manager based in Cayman, London and Moscow. He is qualified in Cayman, the BVI, Jersey and England and Wales but currently practices Cayman law exclusively.

He is a member of the Cayman Islands Law Society and an active member of sub-committees for Cayman Finance. He is a regular speaker at international conferences and is a frequent contributor on offshore funds to trade journals.

Matt’s representative transactions include advising:

  • a NASDAQ listed global private markets firm on the set up and continuing growth of its Cayman capital raising structures. The structure currently comprises nineteen private equity funds structured as Cayman exempted limited partnerships and a segregated portfolio company comprising ten sub-funds with nine separate bespoke limited partnerships and two separate bespoke segregated portfolio structures established for specific key investors. Subscription financing and asset backed financing for this structure have been implemented through loan and security arrangements put in place with leading international banks.
  • a leading international fund administrator which employs more than 750 staff across offices in the US, Ireland, London, Luxembourg, Australia and Cayman and with over US$240 billion of assets under administration, assisting with the refinancing of its operations, restructuring of its service lines across its multi-jurisdictional offices and assisting with outsourcing and compliance integration between the key jurisdictions in which it operates.
  • an SEC registered investment advisor specialising in the provision of secured loans to support the growth and financing needs of SMEs, assisting in the acquisition of a UK financial services firm via Cayman and UK corporate vehicles using a combination of equity and debt interests as part of the core growth strategy for this client.
  • Japan's largest trust bank, with AUM of more than $800 Billion USD in establishing two private equity funds involving the investment via Cayman limited partnership private equity funds into senior and junior debt related to infrastructure projects in Europe.
  • an FSC regulated manager with offices in London, Italy, Ireland and Switzerland in the establishment of Cayman umbrella funds investing in distressed securities and art.
  • a London and Irish based asset manager on the set up and operation of six corporate and three exempted limited partnership private equity funds each targeting CLO and CDO investments.
  • a NASDAQ listed public company and leading fund administrator with over US$1tn in assets under administration assisting with the implementation of Cayman anti-money laundering regulations and data protection requirements.

  • A leading UK- and US-based investment manager on establishing a Cayman fund structure comprising a unit trust to feed, with other direct investors, into a Cayman segregated portfolio company to provide seed capital and working capital to early stage hedge funds.
  • A leading Asian asset manager in relation to their Cayman segregated portfolio fund which targets preferential time deposits with leading Indian banks.
  • A leading CIS-focused investment manager on the restructuring of its suite of Cayman domiciled funds and corresponding Cypriot subsidiaries.
  • A leading Japanese investment adviser on the restructuring of a unit trust to manage liquidity issues, including the use of side-pocketed units, the facility to continue NAV reporting following the suspension of redemptions, and the extension of lock up periods.
  • On the Cayman corporate aspects of a joint venture arrangement established to invest in pharmaceutical companies in the MENA region.
  • On the establishment of closed ended special purpose vehicles to manage asset illiquidity within Cayman hedge funds allowing the continuing offering of shares and satisfying investor requirements for the management of illiquid assets.
  • On the variation of rights by the imposition of a redemption gate on investors in a hedge fund tainted with assets exposed to the Lehman collapse.
