Grace advises fund promoters/asset managers, investment funds, management companies and their service providers on a wide range of legal, regulatory and compliance matters – including the structuring, establishment and regulation of all types of mutual funds. Her clients are Irish and international – mainly from the UK, Italy and the US.

Grace’s experience includes working for two years in the Irish Stock Exchange’s Funds Listing Department. She has lectured in the Law Society of Ireland on investment fund related matters.

Grace’s representative transactions include advising:

  • A US promoter and Irish manager, respectively, on liquidation/revocation of its UCITS funds, UCITS ManCo and Chapter 4 AIF management company.
  • An Irish manager on a large restructure of its group entities, to include various mergers and approval of MiFID type activities for the Irish ManCo/AIFM and update of all the fund documentation.
  • A large UK asset manager on various changes of service providers for its AIFs, including appointment of an Irish based ManCo/AIFM (in place of a UK AIFM) as part of its Brexit planning.
  • A UK asset manager/promoter on the restructure of its UCITS range, both in Ireland and the UK, to include domestic and cross-border mergers.
  • An Irish manager on the establishment and approval of multiple sub-funds within one of its umbrella UCITS with varying strategies, including ESG focus and complex use of derivatives.
  • A large UK asset manager on the establishment and approval of multiple sub-funds within its umbrella QIAIFs (marketing mainly to UK pension funds), some of which benefit from UK tax transparency status.
  • Large umbrella UCITS and AIFs mainly structured as fund of funds/fund of hedge funds – ongoing advice on post-authorisation legal, regulatory and compliance issues.
