Brian Kelliher is a Partner in the Asset Management & Investment Funds unit of Dillon Eustace. He specialises on the establishment of investment funds and investment firms and advises on all applicable regulatory and compliance matters.

Brian has over 25 years experience advising on the establishment of:

  • investment funds of all product types including UCITS with traditional or liquid alternative investment strategies such as equity hedge, global macro, relative value and event driven; Money Market Funds; ETFs; and AIFs investing in alternative, less liquid or private assets; and
  • investment firms such as asset managers, distributors and fund service providers.
    His investment funds practice covers product design, contract negotiation, authorisation, distribution, migration and advising on all applicable regulatory and compliance matters.
    Brian’s international experience includes working in a New York listed and NASDAQ registered broker / dealer prior to commencing his career at Dillon Eustace.

Brian’s representative transactions include:

  • Acting on behalf of a Spanish private equity manager in the establishment of a fund investing minority positions in small and mid-cap listed companies with an active ownership strategy providing investee companies with management support in order to enhance value;
  • Acting on behalf of an Irish AIF ICAV in the negotiation of a side letter required by a US tax exempt investor in advance of a US$200 million investment;
  • Acting on behalf of a South African manager in the establishment of a Money Market Fund;

  • Acting on behalf of a Swiss manager in the establishment of a UCITS fund investing in underlying ETFs aligned with one or more of the UN SDGs;

  • Acting on behalf of a UK manager in the establishment of UCITS ESG funds with a either a sustainable investment objective or a strategy of promoting environment or social characteristics in accordance with SFDR;

  • Acting on behalf of Indian managers in the establishment of UCITS and AIF funds with a focus on Indian fixed income, equity and/or balanced portfolios;

  • Acting on behalf of existing UCITS in domestic and cross border mergers and in relation to the change of service providers.
