Our Debt Capital Markets team provides securities law, company law, taxation and stock exchange listing advice on public and private debt and equity issuance
We advise issuers, arrangers and market participants on a variety of stand-alone and multi-issuance debt transactions.
The team’s work complements the work carried out by our Securitisation and Structured Finance and Irish Stock Exchange Debt Listing teams in advising on domestic and international securitisations, MTN and CP programmes and other structured debt issuances.
We are experienced advisers on Irish securities law – including prospectus, transparency and market abuse requirements – to major financial institutions and issuers offering equity and debt securities into Ireland.
Relevant Experience
Advising an investment company in relation to the establishment of a private note structure to facilitate the acquisition of a number of aircraft.
Advising an asset management firm in connection with the establishment of an Irish leveraged and unleveraged note issuance structure. Our work involved the incorporation of the two Issuer vehicles and the drafting of relevant note documentation to facilitate lending in both DACs.
Acting for an investment firm to establish a significant note issuance programme for their Irish Section 110 vehicle. The notes are constituted through a bond programme instrument with final terms issued on a series-by-series basis. We also provided legal advice on the platform structure.
Acting for a bank as the subscriber and security trustee in respect of secured loan notes issued by a housing developer, for the purposes of financing the acquisition of a site in Dublin and the development of many residential units.
Advising a capital investment firm on the securitisation of a large portfolio of non-performing loans. This included the negotiation of the listing particulars and all of the other transaction documents and generally advising the Issuer and the Seller as to their obligations as a matter of Irish law.
