PROFILE: Sarah trained in Dillon Eustace and has been a solicitor in the Financial Services Group since qualifying i­n 2006. She advises primarily in the area of asset management and investment funds and has advised clients on a wide range of legal and regulatory matters. She has particular experience the establishment and maintenance of UCITS products as well the establishment of Alternative Investment Funds Managers Directive (AIFMD) compliant Qualifying Alternative Investor Funds (QIAIFs) and, more recently, on the establishment of Irish Collective Investment Asset-management Vehicles (ICAVs). Sarah was seconded to a large Luxembourg law firm in 2007 and to the Legal Department of a large US Asset Manager client based in London between 2009 and 2010, as well carrying out a secondment to the Dillon Eustace, Cayman Islands office in 2014.

REPRESENTATIVE ACTIONS:

  • Advising an UK domiciled AIFM on the establishment and authorisation of its first Qualifying Alternative Investor Fund focusing on the global equity market;
  • Advising a UK asset manager in respect of the establishment of a UCITS umbrella Irish collective asset management vehicle (ICAV) and the merger of a sub-fund of a Luxembourg based SICAV into this new structure;
  • Advising a large UK asset manager on the authorization of multiple Irish umbrella UCITS sub-funds as well as providing ongoing advices to its main UCITS platform with multiple global investment managers;
  • Advising an Asian based asset manager in respect of the establishment of a sub-fund investing in China A shares via the Shanghai-Hong Kong Stock Connect Program.
  • Providing ongoing advice to a UK domiciled asset management group in relation to their multiple UCITS and QIAIF products with a particular focus on preparing ongoing regulatory updates to the various fund documentation, assisting in the foreign registration of their products and coordinating Central Bank filings for new product launches;
  • Advising US, Swiss and Asian based asset managers on their UCITS products.
